1. Introduction

Welcome to CrowdSpark ("CrowdSpark", "Crowd Spark", "we", "us", or "our").CrowdSpark (also referred to as "Crowd Spark" throughout certain branding and marketing materials) is an online platform that enables users to submit, discover, discuss, evaluate and explore business ideas, trends and insights.By accessing or using CrowdSpark, creating an account, submitting content, or purchasing a subscription, you agree to be bound by these Terms of Service ("Terms").If you do not agree to these Terms, you must not use the Platform.You must be at least 18 years old to use CrowdSpark.

2. Definitions

‍Platform means the CrowdSpark website, applications, services and related systems.
‍User means any person who accesses or uses the Platform.
‍Submission means any idea, suggestion, comment, vote, response, feedback, profile information or other content submitted by a User.
‍Content means all text, graphics, data, information, media and other material available on the Platform.
‍Contributor means a User with a free account.
‍Insights Explorer means a User with a paid subscription.
‍Services means all products, features, functionality and services provided through the Platform.
‍Insights means aggregated information, analytics, trends, rankings, reports, observations, statistics or other outputs generated from Platform activity and content.

3. Account Registration

Users may be required to create an account to access certain features.You agree to:Provide accurate and complete information.Keep your information up to date.Maintain the security of your account credentials.Accept responsibility for activity conducted through your account.You must not share your account with others.CrowdSpark reserves the right to suspend, restrict or terminate accounts at its discretion where these Terms are breached or where we believe suspension is necessary to protect the Platform or its users.

4. User Submissions

Users retain ownership of any intellectual property rights they hold in their Submissions.

Licence Grant

By submitting content to CrowdSpark, you grant CrowdSpark a non-exclusive, worldwide, perpetual, irrevocable, royalty-free licence to:

β€’ Host, store and display Submissions.
β€’ Reproduce, distribute and publish Submissions.
β€’ Analyse and process Submissions.
β€’ Generate rankings, statistics and insights.
β€’ Create aggregated reports and analytics.
β€’ Use Submissions for marketing, promotional and operational purposes.
β€’ Commercialise aggregated insights derived from Platform activity.

Public Nature of Submissions

Users acknowledge that Submissions may be visible to other users and third parties.Users should not submit confidential, proprietary or commercially sensitive information unless they are willing for that information to be viewed by others.CrowdSpark does not guarantee the confidentiality of any Submission.

Similar Ideas

Users acknowledge that similar or identical ideas may already exist, may be independently developed by others, or may be submitted by other users.CrowdSpark does not verify the originality of Submissions and shall not be responsible for disputes regarding ownership, originality or similarity of ideas.

User Assumption of Risk

Users acknowledge that the purpose of the Platform is to facilitate the sharing, discovery, discussion and analysis of business ideas.CrowdSpark does not act as an investor, broker, agent, representative, advisor, business partner or intermediary.CrowdSpark accepts no responsibility for how Submissions are used, relied upon, developed, commercialised, ignored or otherwise acted upon by any person.Users assume all risks associated with submitting content to the Platform.CrowdSpark shall not be liable for any use, misuse, development, implementation, commercialisation or copying of ideas by other users or third parties.CrowdSpark does not guarantee that any Submission will receive attention, votes, engagement, tips, donations, payments, rewards, compensation, funding, investment, partnership opportunities, commercial interest or implementation.

Tips, Rewards and Compensation

Users may have the option to provide a link or mechanism through which other users can voluntarily tip, donate to, reward or otherwise support them. CrowdSpark does not guarantee that any Submission will receive tips, donations, payments, rewards, compensation, commercial interest, investment, funding, partnership opportunities or any other benefit.Any tipping, donation, payment or reward arrangement made between users, or through a third-party service, is voluntary and separate from CrowdSpark. CrowdSpark is not responsible for whether any user chooses to provide a tip, donation, payment or reward, and Users should not submit content to the Platform with any expectation of payment or compensation.

5. Intellectual Property & Infringement

Users represent and warrant that they own or have sufficient rights to submit any content they upload.Users must not submit content that:Infringes copyright.Infringes trademarks.Violates intellectual property rights.Misappropriates confidential information.Violates applicable laws.If you believe content infringes your rights, you may contact CrowdSpark to request review or removal.CrowdSpark reserves the right to remove content at its discretion.

6. Acceptable Use

Users must not:

Violate applicable laws.
Post unlawful, abusive or harmful content.
Harass, threaten or intimidate others.
Submit misleading or fraudulent information.
Manipulate rankings, voting or engagement metrics.
Create multiple accounts to influence outcomes.
Use bots, scripts or automated systems to interact with the Platform.Scrape, harvest or extract data without permission.
Attempt to reverse engineer or disrupt the Platform.
Interfere with the security or operation of the Services.

CrowdSpark may investigate and take action against violations of this section.

User Contact and Third-Party Dealings

CrowdSpark may enable users to view profile information, contact details, links or other information provided by other users. Any decision to contact, communicate with, meet, collaborate with, contract with, invest in, employ, partner with, purchase from, sell to, or otherwise deal with another user or third party is entirely at the User’s own discretion and risk.CrowdSpark is not a party to any communications, discussions, negotiations, agreements, transactions, collaborations, investments, partnerships, employment arrangements, commercial relationships or disputes between users or third parties, unless expressly agreed in writing by CrowdSpark.Users are responsible for carrying out their own checks, due diligence and professional assessment before entering into any arrangement with another user or third party. CrowdSpark does not verify the identity, credentials, intentions, financial position, reliability, legality, suitability or trustworthiness of users, Submissions, businesses or third parties.CrowdSpark shall not be responsible for any loss, damage, dispute, claim, liability, cost or expense arising from user-to-user contact, third-party contact, communications, meetings, collaborations, transactions, agreements, investments, partnerships or other arrangements made through or as a result of use of the Platform, except to the extent that such liability cannot be excluded under applicable law.

7. Paid Services & Subscriptions

Certain features may require payment.Subscription plans and pricing may change from time to time.Where applicable:Subscription fees are billed in advance.Users authorise recurring billing for subscription services.Users may cancel subscriptions at any time.Cancellation will stop future renewals but does not automatically entitle users to refunds.Refunds may be provided at CrowdSpark's discretion unless otherwise required by law.CrowdSpark reserves the right to modify, suspend or discontinue paid features.

Users may cancel a subscription at any time through their account settings or by contacting CrowdSpark.Upon cancellation, access to paid features will continue until the end of the current billing period unless otherwise stated.No refunds will be provided for partially used subscription periods except where required by law.

CrowdSpark reserves the right to change subscription pricing upon reasonable notice to users.

8. Platform Information Disclaimer

CrowdSpark provides a platform for information sharing and discovery.CrowdSpark does not provide:Financial advice.Investment advice.Legal advice.Tax advice.Professional business advice.Users should conduct their own research and obtain professional advice where appropriate.

9. Insights & Rankings Disclaimer

CrowdSpark makes no guarantee regarding:The quality of ideas.The viability of ideas.Market demand.Commercial success.User-generated rankings.Trends or insights displayed on the Platform.Insights, rankings and analytics are provided for informational purposes only.Users should not rely solely upon Platform data when making business, investment or commercial decisions.

10. Advertising, Analytics & Monetisation

CrowdSpark may display advertising, sponsorships, promoted content or commercial partnerships.CrowdSpark may analyse Platform activity and generate aggregated insights, statistics, rankings and reports.Unless expressly agreed in writing, Users are not entitled to compensation, royalties or revenue sharing arising from CrowdSpark's use of aggregated insights or Platform analytics.

11. Service Availability

CrowdSpark is provided on an "as is" and "as available" basis.We do not guarantee uninterrupted, secure or error-free operation.CrowdSpark may:Modify features.Add or remove functionality.Restrict access.Suspend services.Discontinue services.without liability.

12. Limitation of Liability

To the fullest extent permitted by law, CrowdSpark shall not be liable for:Indirect losses.Consequential losses.Loss of profits.Loss of business opportunities.Loss of goodwill.Loss of data.Where liability cannot be excluded, CrowdSpark's total liability shall not exceed the greater of:(a) the amount paid by the User to CrowdSpark during the preceding twelve months; or(b) Β£100.Nothing in these Terms excludes liability that cannot be excluded under applicable law.

13. Indemnification

Users agree to indemnify and hold harmless CrowdSpark, its owners, employees and affiliates from claims, losses, liabilities, costs and expenses arising from:User Submissions.Breaches of these Terms.Violations of law.Intellectual property disputes relating to submitted content.

14. Termination

CrowdSpark may suspend or terminate access to the Platform at any time where reasonably necessary.Users may cease using the Platform at any time.Any licences granted to CrowdSpark under these Terms shall survive termination to the extent necessary to operate, maintain or reference existing content and insights.

15. Privacy & Data Protection

Our collection and use of personal data is governed by our Privacy Policy. By using CrowdSpark, you acknowledge that personal data may be processed in accordance with the Privacy Policy.

16. Feedback

Any suggestions, ideas, recommendations or feedback provided to CrowdSpark may be used by CrowdSpark without restriction or compensation.

17. Changes to These Terms

CrowdSpark may update these Terms from time to time.Continued use of the Platform following publication of updated Terms constitutes acceptance of those changes.

18. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of England and Wales.Any dispute arising from these Terms or use of the Platform shall be subject to the exclusive jurisdiction of the courts of England and Wales.
